Terms of Service

1. Service Description

fiveservers provides digital services including but not limited to: Git version control consulting, CI/CD architecture and automation, AI integration and safeguards, and full-stack engineering services. All services are provided on a consulting or project basis as agreed upon with the client.

2. User Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information or clarification in a timely manner
• Review deliverables and provide feedback within agreed timeframes
• Maintain confidentiality of any credentials or sensitive information shared
• Use services in compliance with applicable laws and regulations

3. Acceptable Use Policy

Clients may not use our services to:

• Develop or deploy systems for illegal activities
• Create or distribute malware, spam, or other harmful content
• Violate intellectual property rights of third parties
• Engage in fraudulent or deceptive practices
• Compromise security or privacy of systems or data

4. Service Availability & SLA

We strive to provide reliable services with the following commitments:

• Response to inquiries within 24 hours during business hours (9 AM - 6 PM EST)
• Project timelines established and agreed upon before work begins
• Regular status updates for ongoing projects
• Emergency support available for retainer clients

Scheduled maintenance and unforeseen circumstances may impact availability. We will provide advance notice when possible.

5. Payment & Billing

Payment terms:

• Hourly consultations: Invoiced upon completion with payment due within 15 days
• Project-based work: 50% deposit required to begin, remainder due upon completion
• Retainer agreements: Monthly billing in advance
• Late payments may incur interest charges of 1.5% per month
• All fees are non-refundable once work has commenced

6. Intellectual Property

Upon full payment:

• Clients own all custom code and deliverables developed specifically for their project
• fiveservers retains ownership of proprietary tools, frameworks, and methodologies
• Clients receive appropriate licenses to use any third-party software or libraries incorporated into deliverables
• fiveservers may showcase work (with permission) in portfolios or case studies

7. Confidentiality

Both parties agree to:

• Maintain confidentiality of proprietary and sensitive information
• Use confidential information only for the purpose of the engagement
• Return or destroy confidential information upon request or completion of services
• Execute mutual non-disclosure agreements when appropriate

8. Limitation of Liability

To the fullest extent permitted by law:

• fiveservers is not liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the fees paid for the specific service in question
• Clients are responsible for testing and validating all deliverables before deployment
• fiveservers does not warrant that services will be error-free or uninterrupted

9. Warranty Disclaimer

Services are provided "as is" without warranties of any kind, express or implied. While we strive for excellence, we make no guarantees regarding specific outcomes or results from our services.

10. Termination

Either party may terminate services:

• By mutual written agreement
• For material breach of these terms (with 15 days notice to cure)
• Upon completion of project-based work
• Retainer agreements may be cancelled with 30 days written notice

Upon termination, client pays for all work completed to date.

11. Dispute Resolution

Disputes will be resolved through:

• Good faith negotiation between parties
• Mediation if negotiation fails
• Binding arbitration if mediation is unsuccessful
• Governing law: Laws of the jurisdiction where fiveservers operates

12. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Continued use of services constitutes acceptance of modified terms.
